1. Introduction and Acceptance of These Terms

Welcome to https://morgancounseling.net (the “Website”). The Website is owned and operated by Morgan Center for Counseling and Wellbeing, Inc. (“Morgan Center,” “we,” “us,” or “our”).

By accessing or using the Website, or by checking a box indicating your acceptance where one is presented, you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy, which is incorporated by reference. If you do not agree with these Terms, do not use the Website.

We may modify these Terms from time to time. Material changes take effect when we post the revised Terms with an updated Revision Date. Your continued use of the Website after a revised version is posted constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.

2. Eligibility

The Website is intended for individuals who are eighteen (18) years of age or older. By using the Website, you represent that you are at least 18 years old. The Website is not directed to children under the age of 13, and we do not knowingly collect personal information from children under 13. If you believe a child under 13 has submitted personal information through the Website, please contact us so that we may delete it.

3. Informational Use Only — No Therapeutic Relationship

All content provided on the Website is for informational and educational purposes only. Nothing on the Website constitutes medical advice, mental health advice, legal advice, diagnosis, or treatment, and nothing on the Website establishes a therapist-client relationship.

A therapist-client relationship with Morgan Center is established only after completion of intake procedures, execution of required consent documents, and mutual agreement to begin treatment. Use of the Website — including submission of contact forms, emails, or other communications — does not create a therapeutic, confidential, or fiduciary relationship, and does not create any duty of care or professional obligation.

4. Scope of These Terms — Clinical Services Not Affected

These Terms govern your use of the Website only. Nothing in these Terms modifies, limits, or replaces any rights or obligations arising under a separate treatment relationship with Morgan Center, any informed consent or intake agreement you may execute, or applicable professional regulations governing licensed clinical services. If you become a client of Morgan Center, the terms of your treatment relationship are governed by your intake and informed consent documents, not by these Terms.

5. Florida-Only Services and Jurisdictional Limitation

Morgan Center provides professional services only to individuals physically located in the State of Florida at the time services are rendered. By using the Website, you acknowledge and agree that services are not offered to individuals outside of Florida, and that no information on the Website is intended to solicit or provide services in any jurisdiction where such services would be unauthorized.

6. No Emergency Services

The Website is not intended for emergency use, and we do not monitor or respond to Website communications for emergency purposes. If you are experiencing a mental health crisis or emergency, call 911, contact a local emergency provider, or dial 988 (Suicide & Crisis Lifeline).

7. Telehealth and Electronic Communications

Telehealth services may be offered to eligible clients located in Florida; however, access to the Website alone does not constitute participation in telehealth services. Telehealth services, when provided, are subject to separate informed consent agreements that include detailed disclosures of risks, limitations, and client responsibilities.

By using the Website, you acknowledge and agree that electronic communications (including contact forms and email) may not be secure; that communications may be intercepted, accessed, or disclosed by unauthorized parties; and that you should avoid submitting sensitive or confidential information through unsecured channels. We are not responsible for delays, failures, or interception of electronic communications.

8. Consent to Be Contacted

By providing your telephone number, email address, or other contact information through the Website, you consent to be contacted by Morgan Center by telephone, email, or text message regarding your inquiry. Standard message and data rates may apply. You may opt out of text communications at any time by replying STOP or contacting us using the information below.

9. Permitted Use of the Website

You agree to use the Website only for lawful purposes and in a manner that does not violate applicable laws or regulations, attempt unauthorized access to systems or data, interfere with Website functionality, or disrupt other users.

You further agree that you will not, without our prior written permission: (a) access the Website through any automated means, including bots, scrapers, or crawlers; (b) harvest, extract, or index Website content by automated means; (c) use any Website content to train, fine-tune, or otherwise develop any machine-learning or artificial-intelligence model or system; or (d) copy, reproduce, sell, or resell any portion of the Website or its content.

We reserve the right to restrict or terminate access to all or part of the Website at our sole discretion, with or without notice, for any reason, including breach of these Terms. Suspected illegal, fraudulent, or abusive activity may be referred to appropriate law enforcement authorities.

10. User Submissions

Any information you submit through the Website is provided voluntarily. You represent that any information you submit is accurate and that you have the right to submit it. By submitting any content or communication through the Website (other than protected health information provided within an established treatment relationship), you grant Morgan Center a non-exclusive, royalty-free license to use, reproduce, and store that submission for the purpose of responding to your inquiry and operating the Website. We reserve the right to remove or decline to respond to any submission at our sole discretion.

11. Third-Party Links

The Website may contain links to third-party websites. We are not responsible for the content, accuracy, or privacy practices of third-party websites, and a link does not constitute an endorsement. Accessing third-party websites is at your own risk.

12. Intellectual Property

All Website content — including text, graphics, logos, images, code, design, and the Website name — is the property of Morgan Center for Counseling and Wellbeing, Inc. and is protected by applicable copyright, trademark, and other intellectual property laws. Any unauthorized use, including reproduction, distribution, display, or transmission of Website content, is strictly prohibited unless specifically authorized in writing by Morgan Center.

13. No Guarantee of Outcomes

You acknowledge and agree that individual results from counseling or mental health services vary significantly; that no guarantees, representations, or warranties are made regarding outcomes, progress, or results; and that any examples, testimonials, or descriptions of outcomes on the Website are illustrative only and not predictive of your experience.

14. Disclaimer of Warranties

THE WEBSITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF ACCURACY, COMPLETENESS, RELIABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MORGAN CENTER FOR COUNSELING AND WELLBEING, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, EMOTIONAL DISTRESS, LOSS OF DATA, LOSS OF BUSINESS OR OPPORTUNITY, OR DAMAGES ARISING FROM RELIANCE ON WEBSITE CONTENT — ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE WEBSITE, ANY INFORMATION PROVIDED ON THE WEBSITE, ELECTRONIC COMMUNICATIONS, OR INTERRUPTIONS, ERRORS, OR OMISSIONS.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF MORGAN CENTER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES FOR ANY CLAIM ARISING FROM OR RELATED TO THE WEBSITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, and nothing in this Section applies to clinical services provided under a separate treatment relationship (see Section 4). Your use of the Website is at your own risk.

16. Indemnification

You agree to indemnify, defend, and hold harmless Morgan Center for Counseling and Wellbeing, Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from your use of the Website, your violation of these Terms, any content or information you submit through the Website, or your misuse of any information obtained from the Website.

17. Governing Law, Venue, and Jury Trial Waiver

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising from or relating to these Terms or the Website shall be resolved exclusively in the state courts located in Palm Beach County, Florida, or the United States District Court for the Southern District of Florida, and you consent to personal jurisdiction and venue in those courts.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND MORGAN CENTER EACH KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION ARISING FROM OR RELATING TO THESE TERMS OR THE WEBSITE.

ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE WEBSITE MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

18. Severability

If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

19. No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of our right to enforce it in the future. No waiver is effective unless made in writing.

20. Survival

Sections 3, 4, 10, 12, and 13 through 20 survive any termination of your access to the Website.

21. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Morgan Center regarding use of the Website and supersede all prior understandings regarding the Website. For clarity, this Section does not affect any separate treatment, intake, or informed consent agreement (see Section 4).
